My Business and Commercial Law Practice
I represent small, medium and large businesses, including closely held companies, handling a broad range of legal issues, including:
- Day-to-day legal concerns. I counsel clients on legal matters that arise during the ordinary course of operation, including bank issues, risk management or liability concerns, and disputes involving unfair competition or interference with business operations. I will prepare a demand letter or a cease and desist letter, provide an analysis of proposed business deals, and help you identify matters that stand in your way or take up too much of your time.
- Specialized business needs. If you run a highly specialized business and have concerns about the consequences of certain proposals, I can help you determine the risks, as well as your rights, and can help you negotiate and put into place mechanisms that protect your interests. I will review contracts and make recommendations for revisions that will reduce your risk. I can prepare all documents, including indemnity agreements, necessary to protect your interests.
- Business formation. I will help you identify the most appropriate business structure for meeting tax, liability and ownership goals, whether through a partnership, limited liability company (LLC) or corporation. I will also prepare and file all documents necessary to establish your business in compliance with California business law, including articles of incorporation or organization, operating agreements and bylaws.
